MSA Bylaws and Policies

BYLAW I. GOVERNING BODY

  1. GOVERNING AUTHORITY
    1. The governing authority of Martin Soccer Association (MSA) shall be vested with the Board of Directors and the Executive Committee of MSA, whose powers shall be delegated in the Bylaws.
    2. The Tennessee State Soccer Association (TS) and The Federation (USSF) articles of incorporation, bylaws, policies, and requirements take precedence over and supersede the governing documents and decisions of MSA and its members to the extent applicable under state law, and MSA and its members will abide by those articles, bylaws, policies and requirements.
  2. BOARD OF DIRECTORS
    1. The Board of Directors shall be comprised of 13 Directors, each having one vote.
    2. Six Directors shall be the Officers elected by the general membership of MSA:
      1. President
      2. Vice President- Competitive
      3. Vice President- Recreational
      4. Secretary
      5. Treasurer
      6. Registrar
    3. Seven Directors shall be Designated Directors elected by the general membership:
      1. Referee Assignor
      2. Sponsorship Coordinator
      3. U-6 Field Coordinator
      4. U-8 Field Coordinator
      5. U-10 Field Coordinator
      6. U-12 Field Coordinator
      7. U-14 Field Coordinator
    4. The immediate past president of MSA shall be an ex-officio member of the Board of Directors for one calendar year beginning on the date the successor assumes office. He or she shall have no voting this position.
  3. EXECUTIVE COMMITTEE
    The Executive Committee of the Board of Directors shall be comprised of the President, Vice President-Competitive, Vice President-Recreational, Secretary, Treasurer, and Registrar.
  4. ELECTION AND TERM OF OFFICERS AND DIRECTORS
    1. Officers and Directors shall be elected by majority vote of the general membership at the MSA Annual General Meeting.
    2. All Officers and Directors shall be elected for a two-year term.
    3. Officers and Directors are not restricted to a single term of office.
    4. The President, Vice President-Recreation, Secretary, and Registrar shall be elected in even numbered years.
    5. The Treasurer, Vice President- Competitive, and all other Board members shall be elected in odd numbered years.
    6. Officers and Directors shall assume office the next business day following their election.

BYLAW II.  DUTIES OF DIRECTORS

  1. GENERAL DUTIES OF ALL DIRECTORS
    1. Each Director shall carry out his/her duties in a responsible manner, acting only in the best interests of MSA and its membership.
    2. Each Director shall be prepared to report on his/her activities and areas of responsibility at meetings of the Board of Directors.
    3. Each Director shall follow the MSA financial policy regarding budget proposals, expense reports, and handling of MSA monies.
    4. Each Director shall be familiar with the rules of TS and USSF.
  2. SPECIFIC DUTIES OF DIRECTORS
    1. President
      1. Serves as the Chief Executive Officer of MSA
      2. Serves as Chairman of the Board of Directors and Executive Committee
      3. Presides at all meetings of the Executive Committee, the Board of Directors and the MSA general membership meeting
      4. Serves as an ex-officio non-voting member of all MSA committees
      5. Appoints committee chairperson and members as required by TS and MSA policies
      6. Submits an annual report in writing to the membership at the Annual General Meeting
      7. Votes only in instances where the President’s vote affects the   outcome of the vote
    2. Vice President-Competitive
      1. Oversees the annual registration of  Division 1, 2 and 3 players and the competitive components of member Associations at the youth level
      2. Assumes responsibility for the conduct of all youth competitive events involving Division 1, 2 and/or 3 players affiliated with MSA
      3. Maintains communications with MSA and TS
      4. Performs those duties called for by MSA and TS rules and regulations as they apply to Division 1, 2 and/or 3 players
      5. To provide training opportunities for competitive players and coaches
      6. Serves as a member of the Executive Committee
      7. Presides at Executive Committee, Board of Directors, or general   membership meetings in the absence of the President
    3. Vice President-Recreational
      1. Oversees the annual registration of Division 4 players and the recreational components of member Associations at the youth level
      2. Assumes responsibility for the conduct of all youth recreational events involving Division 4 players affiliated with MSA
      3. Maintains communications with MSA and TS
      4. Performs those duties called for by MSA and TS rules and regulations as they apply to Division 4 players
      5. Serves as Chair of the Youth Recreational Committee
      6. Serves as Chair of the Risk Management Committee
      7. To provide training opportunities for recreational players and coaches
      8. Serves as a member of the Executive Committee
    4. Secretary
      1. Keeps all minutes related to Board of Directors and Executive Committee meetings
      2. Performs duties called for by MSA and TS rules and regulations
      3. Serves as a member of the Executive Committee
    5. Treasurer
      1. Serves as Chair of the Budget and Finance Committee
      2. Formulates the annual budget and submits it to the Board of Directors and general membership for approval
      3. Maintains records and receipts of all money to be deposited in a recognized bank in the name of MSA
      4. Pays all accounts by check with his/her signature or that of their designee.         
      5. Submits financial reports to the President and general  membership at regular meetings
      6. Produces all financial records when required by the Board of   Directors or Executive Committee, properly balanced, and reflecting MSA's current financial status
      7. Serves as a member of the Executive Committee
    6. Registrar
      1. Keeps all records related to player registration
      2. Communicates with TS the MSA player enrollment
      3. Is responsible for both competitive and recreation registration with TS
      4. Serves as a member of the Executive Committee
    7. Referee Administrator
      1. Represents the interests of the MSA referees on the Board of   Directors
      2. Administers the MSA referee program as per the TS State Referee Program
      3. Assures that all requirements referee programs are met
      4. Gathers input from committee members for use in preparation of the annual budget requests
      5. Holds a current USSF referee certification
      6. Communicates with USSF national and regional referee committees
      7. Designates means of communication with the TS and MSA Referee Committee
    8. Other Directors
      1. Administer MSA activities within their assignments
      2. Report on their MSA programs and activities at Board of Directors and general membership meetings as to their area of assignment
      3. Know the rules of MSA, TS and USSF and its divisions and can interpret and communicate them to the membership
      4. Attend meetings to provide counsel and insure that MSA operating procedures are followed
      5. Promote good sportsmanship at all levels of play

BYLAW III.  GENERAL MEMBERSHIP MEETINGS

  1. DATES
    1. MSA shall hold at least one general membership meeting annually.
    2. The membership shall be provided notice and agenda of the meeting at least 15 days prior to the meeting.
  2. PARLIAMENTARY PROCEDURES
    Robert's Rules of Order, latest edition, shall be the parliamentary authority for all meetings of TS, unless otherwise agreed to by the  participants by a two-thirds vote.
  3. VOTING BY DIRECTORS
    Each member of the Board of Directors shall be entitled to one vote, except the President, who shall cast a vote only when his/her vote will affect the outcome of the vote.

BYLAW IV.  AMENDMENTS

  1. APPROVAL OF AMENDMENTS
    1. Amendments to the Constitution and Bylaws must be approved by two-thirds of the voting members at a general membership meeting.
    2. Members and directors may vote by proxy.
  2. AMENDMENT PROPOSALS
    1. Proposed amendments may be submitted by an officer of MSA, Director, or by a member.
    2. Proposals should include the number and text of the current rule, the text of the proposed new or revised rule, and the reason for the change.
    3. Proposals to revise or amend the Constitution and Bylaws shall be submitted in writing to the Executive Committee at least 60 days in advance of the general meeting.
    4. Amendment proposals shall be published and distributed to the Board of Directors for study at least 30 days prior to the general meeting at which the proposal will be considered
